1. Agreement to Terms

By accessing or using the CorporateWebPro AI Agency platform at www.corporatewebproaiagency.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

CorporateWebPro AI Agency is an AI-powered digital marketing platform that provides automated marketing services including web design, SEO, Google Ads management, social media management, content marketing, brand identity creation, and Google Business Profile optimization through AI agents.

3. User Accounts

• You must be at least 18 years old to create an account.
• You are responsible for maintaining the confidentiality of your account credentials, including your password and any multi-factor authentication methods.
• You are responsible for all activities that occur under your account.
• You must provide accurate and complete registration information and keep it updated.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions & Payments

4.1 Plans & Billing

• We offer monthly subscription plans (Starter, Professional, Enterprise) and à-la-carte add-on services.
• Payments are processed via M-Pesa (Kenya) and PayPal (International).
• All prices are displayed in KES or USD and are inclusive of applicable taxes unless stated otherwise.
• Subscriptions renew automatically each month unless cancelled.

4.2 Refunds

Due to the nature of AI-generated services, refunds are handled on a case-by-case basis. If you are unsatisfied with a deliverable, contact us within 7 days of delivery. We will work to resolve the issue or provide a partial refund at our discretion.

4.3 Free Trial

We may offer a free trial period. At the end of the trial, you will need to subscribe to a paid plan to continue using premium features.

5. Third-Party Account Connections

Our Service allows you to connect third-party accounts including Google Analytics, Google Search Console, Google Ads, Google Business Profile, Facebook, Instagram, LinkedIn, X (Twitter), and TikTok.

• By connecting these accounts, you authorize us to access and manage them on your behalf within the scope of our marketing services.
• You may disconnect any account at any time via your dashboard.
• We store OAuth credentials in encrypted form and do not share them with unauthorized third parties.
• You are responsible for ensuring you have the authority to grant us access to these accounts.

6. AI-Generated Content

• Our AI agents generate marketing content, designs, ad copy, SEO recommendations, and other deliverables using artificial intelligence.
• While we strive for quality and accuracy, AI-generated content may contain errors or require human review before publication.
• You are responsible for reviewing and approving all AI-generated content before it is published or deployed on your behalf.
• We do not guarantee specific marketing results, rankings, or ROI from AI-generated campaigns.

7. Intellectual Property

7.1 Our Property

The Service, including its design, code, AI models, branding, and documentation, is owned by CorporateWebPro AI Agency and protected by intellectual property laws.

7.2 Your Content

You retain ownership of the content you provide (logos, text, images). By uploading content, you grant us a limited license to use it solely for providing our services.

7.3 Deliverables

Marketing content, designs, and other deliverables generated by our AI agents for your campaigns are owned by you upon payment of the applicable fees.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to promote illegal activities
• Attempt to gain unauthorized access to other accounts or our systems
• Interfere with or disrupt the Service or its infrastructure
• Upload malicious software, viruses, or harmful content
• Use the Service to send spam, phishing emails, or deceptive communications
• Resell, sublicense, or redistribute the Service without written consent
• Scrape, crawl, or extract data from the Service using automated means

9. Service Availability & Modifications

• We strive for high availability but do not guarantee uninterrupted access. Maintenance windows may occur.
• We reserve the right to modify, suspend, or discontinue any feature of the Service with reasonable notice.
• We may update pricing with 30 days' notice to existing subscribers.

10. Limitation of Liability

To the maximum extent permitted by law, CorporateWebPro AI Agency shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of profits, data, or business opportunities. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Indemnification

You agree to indemnify and hold harmless CorporateWebPro AI Agency, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

• You may cancel your subscription at any time from your dashboard.
• We may terminate your access for violation of these Terms with or without notice.
• Upon termination, your right to use the Service ceases immediately. Your data will be retained for 30 days, after which it will be deleted.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Kenya.

15. Changes to These Terms

We reserve the right to update these Terms at any time. Material changes will be communicated via email to registered users at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
